DHAKA, Aug 31, 2026 (BSS)- The government has taken an initiative to reduce delays and bureaucratic dependence in company registration by making the entire process online, with the Registrar of Joint Stock Companies and Firms (RJSC) moving towards an electronic Business Registration System (eBRS) modelled on Singapore's fast and efficient business registration system.

Once fully operational, the new system will enable entrepreneurs to complete all procedures, from name clearance to final registration, from home, said a press release.

Initially, the RJSC aims to complete company registration within a few hours following prompt verification by its officials.

The progress of the modernisation of RJSC was discussed at a meeting held at the conference room of the Ministry of Commerce today.

Commerce Minister Khandakar Abdul Muktadir attended the meeting as the chief guest while its Secretary Md Ataur Rahman Khan chaired it.

The minister said customers would no longer need to visit RJSC offices for company registration as the organisation's activities would be fully 
automated to enable entrepreneurs to complete registration from home within a short time.

Under the new eBRS, entrepreneurs will be able to apply for company registration online at any time. 

To ensure accuracy of information and prevent fraud, the system will have real-time pre-verification of National Identity (NID), e-TIN and mobile phone numbers.

As a result, errors or inconsistencies in applications will be detected quickly.

The government has also taken steps to simplify the legal process for forming companies. Entrepreneurs will have three options for Memorandum of Association (MOA) and Articles of Association (AOA).

These include standard model MOA and AOA, customised MOA and AOA allowing entrepreneurs to add provisions according to their business needs, and pre-approved standard MOA and AOA.

Officials expect that the use of model and pre-approved documents, in particular, will significantly reduce the time required for verification and approval.

The Department of Computer Science and Engineering of Bangladesh University of Engineering and Technology (BUET) has been engaged as a consultant to ensure the technical security, reliability and quality of the eBRS.

A team of BUET experts is monitoring different stages of software development and providing necessary technical guidance.

The User Acceptance Test (UAT) of the registration module of the software has already been completed successfully, while necessary modifications based on user feedback are at the final stage.

To automate the entire process, eBRS is being integrated with the databases of several key government institutions.

The integration with the Bangladesh Election Commission (EC) for verification of voter and NID information, Bangladesh Telecommunication Regulatory Commission (BTRC) for verification of entrepreneurs' mobile SIM information, and Bangladesh Data Center Company Limited (BDCCL) for cloud security and uninterrupted service is nearing completion.

According to the administrative approval of the ministry, software developer Dynamic Solution Limited (DSI) will complete the final transformation and handover of the software by January 15, 2027.

Work is underway to improve the back-end algorithm to make the proposed fully automated name clearance, or 'auto name clearance', system more accurate.

As an interim measure, the RJSC has decided to ensure that entrepreneurs do not face delays in receiving services while waiting for full automation.

Under the plan, during the initial six months, the concerned officials will promptly re-verify name clearance after applications are submitted. If all required information and documents are found correct, the registration process is expected to be completed within a few hours.

At the same time, efforts will continue to encourage businesses to use model MOA and AOA and to further improve the auto name clearance system.

Officials concerned said the initiative, once fully implemented, would reduce both the time and cost involved in forming companies.

The need for physical visits to government offices will also decline, while automated verification of application information is expected to enhance transparency and accountability in service delivery.

The digital transformation is expected to particularly benefit new entrepreneurs, startups and local and foreign investors by enabling them to start businesses more quickly.

The government believes the digital transformation of RJSC will play an important role in simplifying the business-starting process, creating an 
investment-friendly environment and reducing the overall cost of doing business in the country.

Additional Secretary (IIT) of the Ministry of Commerce and Registrar (Additional Charge) of RJSC Shibir Bichitra Barua, among other senior 
officials of the organisation, attended the meeting.
